1. IntroductionWelcome to WhyHi. These Terms of Service (“Terms”) govern your use of the WhyHi mobile application and any related services (collectively, “Services”) operated by WhyHi, Inc., a Delaware corporation (“WhyHi,” “we,” “our,” or “us”). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.2. EligibilityYou must be at least 13 years of age to use WhyHi. By using the Services, you represent that you meet this requirement and that the information you provide is accurate and complete.3. Account Registration and AuthenticationTo use WhyHi, you must create an account using your phone number as your primary authentication credential. By entering your phone number and agreeing to these Terms during account creation, you confirm that you are the authorized user of the phone number provided and that you consent to receive service-related communications from WhyHi, including SMS messages, at that number.4. Data Collection and UseWe collect information to provide and improve the Services. Data collected includes: personal information such as your phone number, display name, and email address; and usage data such as call invitations, call durations, and feedback on app features.We do not: sell your personal data to third parties; record the audio or video content of your calls; record the content of your messages; or use cookies, tracking pixels, or similar web tracking technologies.

5. SMS Communications and ConsentBy creating an account and agreeing to these Terms, you expressly consent to receive SMS messages from WhyHi at the phone number you provide. These messages include: service messages such as pre-call notifications, post-call follow-ups, and other messages directly related to call functionality; account messages such as verification codes, security alerts, and account-related notices; and updates regarding important changes to the Services, these Terms, or our Privacy Policy.When you initiate a call to a phone number that is not associated with an active WhyHi account, you authorize WhyHi to send up to two SMS messages per call attempt to that number on your behalf: one pre-call notification and one post-call message. These messages are sent as your agent to facilitate the connection you initiated. You acknowledge that each separate call attempt you make to a non-WhyHi number may result in up to two additional messages being sent to that recipient.You may opt out of non-essential SMS messages at any time by replying STOP to any message. Essential service messages required for core app functionality may continue. For help, reply HELP or contact us at [email protected]. Message and data rates may apply. Message frequency varies based on your use of the Services.6. User DirectoryThe WhyHi user directory allows users to find and connect with other users by phone number or username. You may remove connections or block users at any time through the app settings.7. Communications and UpdatesIn addition to SMS messages described in Section 5, you agree to receive communications from us regarding app updates, service changes, and other relevant notices via email. You may opt out of non-essential emails at any time using the unsubscribe link in any message.8. FeedbackUsers are encouraged to submit feedback through the app’s Contact Us links or other in-app mechanisms. Feedback may be used to improve our Services and does not create any confidentiality obligation on our part.9. Account Termination and Data RetentionYou may delete your account at any time through the app settings. Upon deletion, we initiate a 30-day grace period during which your account is deactivated but data is retained in case you change your mind. After 30 days, personal data is permanently deleted from our active systems. Some data may persist in encrypted backups for up to 90 days. Aggregate, non-identifiable analytics data may be retained indefinitely for internal use. For full details, see our Privacy Policy.10. Prohibited ConductYou agree not to: use the Services to harass, threaten, or harm others; attempt to gain unauthorized access to any part of the Services; use the Services in violation of any applicable law or regulation; or reverse engineer, copy, or distribute any portion of the app without written permission. We reserve the right to suspend or terminate accounts that violate these Terms.11. DisclaimersThe WhyHi app is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee uninterrupted or error-free access to the Services.12. Limitation of LiabilityTo the fullest extent permitted by law, WhyHi and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services. Our total liability to you for any claims arising under these Terms shall not exceed the amount you paid us in the twelve months preceding the claim, or $100, whichever is greater.13. User Conduct and Platform LiabilityWe are not liable for the actions of other users on the platform. While we provide mechanisms for reporting inappropriate behavior, we do not monitor user interactions in real time and are not responsible for content generated by users.14. Legal Compliance and JurisdictionThese Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law principles. Any disputes arising under these Terms will be resolved exclusively in the state or federal courts located in Los Angeles County, California. Where applicable, we comply with U.S. federal privacy laws, including CCPA, and Canadian privacy laws including PIPEDA.15. Dispute ResolutionBefore filing any legal claim, you agree to contact us at [email protected] to attempt informal resolution. If unresolved within 30 days, disputes will be resolved by binding arbitration under the rules of the American Arbitration Association (AAA), on an individual basis. You waive any right to participate in class action litigation.16. Changes to TermsWe reserve the right to modify these Terms at any time. Material changes will be communicated through the app and via email. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
